1. Agreement to Terms

By accessing or using Nollie Flip ("the Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using Nollie Flip, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Nollie Flip is an AI-powered content repurposing platform that transforms long-form content into optimized social media posts across multiple platforms. Our Service includes:

• AI-driven content conversion for 8+ social media platforms
• Viral prediction engine and content intelligence
• Brand voice DNA analysis and management
• Smart scheduling recommendations
• Multi-platform content optimization
• Hashtag generation and SEO enhancement

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Restrictions

You may not:

• Share your account credentials with others
• Create multiple accounts to circumvent usage limitations
• Use another person's account without permission
• Create accounts through automated means or under false pretenses
• Transfer or sell your account to another party

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer three subscription tiers:

• Free Plan: 5 conversions per month, single format output
• Creator Plan ($29/month): 50 conversions per month, all formats, priority support
• Pro Plan ($79/month): Unlimited conversions, all features, API access, dedicated support

4.2 Payment Terms

• Billing Cycle: Paid subscriptions are billed monthly in advance
• Payment Method: All payments are processed securely through Stripe
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Failed Payments: You have a 7-day grace period to update payment information before service suspension
• Price Changes: We will notify you 30 days in advance of any price increases

4.3 Refund Policy

We offer a 14-day money-back guarantee for new subscriptions. After 14 days, subscriptions are non-refundable. To request a refund:

• Contact us at support@nollie.net within 14 days of your initial purchase
• Refunds are not available for subscription renewals
• Partial month refunds are not provided for cancellations

4.4 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the paid period.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service for lawful business and personal purposes to create, repurpose, and optimize content.

5.2 Prohibited Activities

You agree not to:

• Illegal Content: Create, distribute, or repurpose illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
• Intellectual Property Infringement: Use content you don't have rights to, including copyrighted material, trademarks, or proprietary information
• Spam and Malware: Generate spam, malware, phishing attempts, or other malicious content
• Misinformation: Intentionally create false, misleading, or deceptive content
• Hate Speech: Generate content promoting violence, discrimination, or hatred based on race, religion, gender, sexual orientation, or other protected characteristics
• Automated Abuse: Use bots, scripts, or automated tools to abuse the Service or circumvent usage limits
• Reverse Engineering: Attempt to reverse engineer, decompile, or extract the source code of our AI models or platform
• System Interference: Interfere with or disrupt the Service, servers, or networks
• Data Scraping: Scrape, harvest, or collect user data without permission
• Impersonation: Impersonate any person, brand, or entity

6. Content Ownership and Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you submit to Nollie Flip ("Input Content") and the content generated by our AI ("Output Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to:

• Process, store, and analyze your Input Content to provide the Service
• Use aggregated, anonymized data to improve our AI models and features
• Display your Output Content within your account dashboard

We do not claim ownership of your content and will not use it for purposes beyond providing and improving the Service without your explicit consent.

6.2 AI-Generated Content

You own the Output Content generated by our AI based on your Input Content. However:

• AI-generated content should be reviewed and edited before publication
• You are responsible for ensuring Output Content complies with applicable laws and third-party rights
• We make no representations about the accuracy, completeness, or quality of AI-generated content
• Similar outputs may be generated for different users with similar inputs

6.3 Our Intellectual Property

The Service, including all software, algorithms, AI models, user interface, design, and documentation, is owned by Nollie Flip and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

7. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures, but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

8. Service Availability and Modifications

8.1 Service Availability

We strive to provide reliable, uninterrupted service but do not guarantee 100% uptime. The Service may be unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Unscheduled maintenance or technical issues
• Third-party service disruptions (hosting, AI providers, payment processors)
• Force majeure events beyond our control

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service. We are not liable for any modification, suspension, or discontinuation of the Service.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability, fitness for a particular purpose, or non-infringement
• Accuracy, reliability, or quality of AI-generated content
• Uninterrupted, secure, or error-free operation
• Viral prediction accuracy or content performance guarantees

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOLLIE FLIP SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use the Service
• Damages resulting from AI-generated content or third-party content
• Damages exceeding the amount you paid us in the 12 months preceding the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless Nollie Flip, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your Input Content or Output Content
• Your negligent or willful misconduct

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Cancelling your subscription through account settings
• Contacting support at support@nollie.net

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, if:

• You violate these Terms or our Acceptable Use Policy
• Your payment fails and is not resolved within the grace period
• We suspect fraudulent, abusive, or illegal activity
• Required by law or legal authority
• We discontinue the Service

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your account data within 90 days, except where retention is required by law. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

12. Third-Party Services and Links

The Service integrates with third-party services including:

• Google Gemini AI for content generation
• Stripe for payment processing
• Supabase for data storage and authentication
• Jina Reader API for URL content extraction

We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is governed by their respective terms and policies.

13. API Terms (Pro Plan)

If you subscribe to the Pro Plan with API access, additional terms apply:

• Rate Limits: API requests are subject to rate limiting to ensure fair usage
• Authentication: You must keep your API keys confidential and secure
• Monitoring: We monitor API usage for abuse and performance
• Breaking Changes: We will provide 30 days' notice for breaking API changes
• Termination: API access may be revoked for violations or abuse

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

14.2 Dispute Resolution
